Terms of Service

1. Scope and Provider

These Terms of Service ("Terms") govern your use of the Relay platform ("Service"), operated by Helia AI GmbH, Rossertstr. 34, 65817 Eppstein, Germany ("we", "us", "Relay"). By creating an account or using the Service, you agree to these Terms.

2. Account Registration

To use Relay, you must create an account. You must be at least 18 years old. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Free Trial and Paid Subscriptions

Relay offers a free trial period. After the trial, continued access to premium features requires a paid subscription. Subscription fees and billing cycles are displayed at the time of purchase.

4. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you retain access to the Service until the end of your current billing period. No partial refunds are provided for the remaining time in a billing period. Cancellation is handled on a pro-rata basis for billing purposes.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Scrape, crawl, or use automated means to access the Service without our written permission.
  • Resell, sublicense, or redistribute the Service without authorization.

6. Intellectual Property

Relay and its original content, features, and functionality are owned by Helia AI GmbH and are protected by international copyright, trademark, and other intellectual property laws. You retain full ownership of all content you create using the Service, including training programs, workout templates, and athlete data.

7. AI Features

Relay uses artificial intelligence powered by Google Gemini to provide features such as voice input processing, program generation, and coaching suggestions. AI-generated content is provided "as is" without any guarantee of accuracy, completeness, or suitability. You are solely responsible for reviewing and validating any AI-generated output before using it with your athletes.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Helia AI GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable German law.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany.
