Subscriber Terms of Service

1. Scope and Provider

These Subscriber Terms of Service ("Terms") govern your use of the Relay Marketplace, including the purchase of subscription plans from coaches and content creators ("Sellers") through the Relay platform. The platform is operated by Helia AI GmbH, Rossertstr. 34, 65817 Eppstein, Germany ("Relay", "we", "us").

Relay acts as the technology platform that facilitates transactions between you ("Subscriber", "you") and Sellers. The Seller is the merchant of record for each subscription you purchase.

2. How the Marketplace Works

Sellers offer subscription plans on the Relay Marketplace that may include access to training programs, video libraries, documents, and other digital content. When you subscribe to a plan, you enter into a direct commercial relationship with the Seller. Relay facilitates the transaction and provides the platform through which content is delivered.

3. Account and Eligibility

To purchase a subscription, you may need to provide your name, email address, and payment information. You must be at least 18 years old or have the consent of a legal guardian. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Payments and Billing

All payments are processed securely through Stripe. Subscription fees, billing intervals, and currency are displayed on the plan page before purchase. By subscribing, you authorize recurring charges at the stated interval until you cancel. Prices are set by the Seller and may be changed with notice.

5. Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to the subscribed content until the end of your current billing period. No partial refunds are provided for the remaining time in a billing period.

6. Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have a statutory right to withdraw from your purchase within 14 days without giving any reason. The withdrawal period begins on the day the contract is concluded.

To exercise your right of withdrawal, you must inform us at team@relayathletic.com by a clear statement (e.g., an email) of your decision to withdraw. Upon valid withdrawal, we will refund all payments received from you without undue delay and no later than 14 days from the day on which we are informed of your decision.

Please note: If you have explicitly consented to the immediate provision of digital content and acknowledged that you thereby lose your right of withdrawal, the right of withdrawal may expire prematurely upon access to the content.

7. Content and Access

Content available through your subscription is provided by the Seller. Relay does not control, endorse, or guarantee the accuracy, quality, or suitability of any Seller content. Content is licensed to you for personal, non-commercial use only. You may not redistribute, resell, or share access to subscription content.

8. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to the platform or its related systems.
  • Share your account or subscription access with third parties.
  • Copy, download, or redistribute content beyond what is expressly permitted.
  • Interfere with or disrupt the integrity or performance of the platform.

9. Limitation of Liability

Relay provides the technology platform and payment infrastructure. Relay is not liable for the quality, accuracy, or suitability of content provided by Sellers. To the maximum extent permitted by applicable law, Relay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Marketplace.

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable German law.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued use of the Marketplace after such changes constitutes acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. If you are a consumer in the EU, you also benefit from any mandatory provisions of the law of your country of residence. Any disputes shall be subject to the jurisdiction of the courts of Frankfurt am Main, Germany, unless mandatory consumer protection rules provide otherwise.
